Terms of Use

1. Agreement and scope

These Terms of Use govern access to Management, a private project and client operating environment provided by Problem Media LLC and powered by Problem Intelligence. By creating or using an account, selecting acceptance, or continuing to use Management, you agree to these terms and the Privacy Notice. If you use Management for an organization, you represent that you are authorized to accept these terms for that organization.

2. Authorized users and accounts

Access is limited to approved Problem team members and specifically invited client users who are at least 18 years old and legally able to enter an agreement. Credentials are personal, may not be shared, and must be protected from unauthorized use. You must promptly report suspected compromise and keep account information accurate. Problem may require reauthentication, rotate credentials, limit sessions, or revoke access to protect the service.

3. Engagement agreements

Management supports project administration but does not replace a statement of work, master services agreement, nondisclosure agreement, approval, license, or other signed engagement document. If these terms conflict with a signed agreement between Problem and a client, the signed agreement controls for that engagement.

4. Confidentiality

Management may contain nonpublic strategies, communications, proposals, creative work, financial or business information, personal information, credentials, and client data. You may use confidential information only for the authorized engagement, protect it with reasonable care, and disclose it only to people who are authorized and bound to protect it. These obligations do not apply to information that you can demonstrate was lawfully public or independently developed without use of confidential information.

5. Client materials and permissions

You retain ownership of files, data, links, trademarks, creative materials, feedback, and other content you submit or authorize for use. You grant Problem and its approved service providers a limited, nonexclusive right to host, copy, process, transmit, display, and modify that content only as reasonably necessary to provide the engagement, operate Management, secure the service, and comply with law. You represent that you have the rights and permissions needed to provide the content and that doing so does not violate law or another person’s rights.

6. Workspace visibility

Client accounts are intended to be scoped to the portal, projects, tasks, messages, files, calendars, and history assigned to that client. Problem team accounts may have broader access when required to manage engagements and the platform. You must not attempt to access another client’s workspace or rely on Management as the sole repository for a required business record.

7. Acceptable use

You may not bypass access controls; probe or test systems without written authorization; scrape or bulk-export the service; introduce malicious code; interfere with availability; impersonate another person; upload unlawful, infringing, deceptive, or harmful material; use Management to train an unrelated model or dataset; or use the service in violation of sanctions, export controls, privacy law, intellectual-property law, or an engagement agreement.

8. Google and other connected services

Management may connect to Google Workspace and other third-party services. Those providers remain responsible for their services and are governed by their own terms and privacy practices. You authorize Management to request and use only the permissions you approve. Connected data may become unavailable if access is revoked, a token expires, an API changes, or the provider experiences an outage.

9. AI-assisted features

Management may use AI-assisted tools to retrieve, organize, draft, or summarize authorized work. AI output may be incomplete or inaccurate and must be reviewed by a qualified person before it is used for decisions, commitments, legal advice, financial advice, public claims, or final deliverables. You must not submit highly sensitive information unless it is necessary, authorized, and appropriate for the engagement.

10. Records, approvals, and monitoring

Problem may record sign-ins, access changes, tasks, messages, approvals, file assignments, security events, and work history to operate and secure Management and maintain an engagement record. A status, automated summary, or activity entry is not a contractual approval unless the applicable engagement agreement expressly says otherwise.

11. Intellectual property

Problem and its licensors retain rights in Management, Problem Intelligence, software, interfaces, workflows, documentation, and preexisting materials. Except for the limited right to use Management during authorized access, no platform or technology rights are transferred. Ownership and licensing of engagement deliverables are determined by the applicable signed engagement agreement.

12. Availability and changes

Management may be updated, suspended, or discontinued and may experience planned or unplanned downtime. Problem will use commercially reasonable efforts to operate the service but does not guarantee uninterrupted availability, permanent storage, or compatibility with every browser, device, or third-party service. Keep independent copies of materials that must be preserved.

13. Disclaimers

To the maximum extent permitted by law, Management is provided “as is” and “as available.” Problem disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing. Nothing in these terms excludes warranties or rights that cannot legally be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither Problem nor its affiliates, personnel, or service providers will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data arising from Management. Problem’s aggregate liability relating to Management will not exceed the fees paid to Problem under the applicable engagement during the six months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

15. Suspension and termination

Problem may suspend or revoke access when an engagement ends, credentials expire, payment or authorization is withdrawn, security is at risk, law requires it, or these terms are violated. On termination, you must stop using Management and return or delete confidential information as required by the applicable engagement agreement. Provisions that by their nature should survive will continue, including confidentiality, ownership, disclaimers, liability limits, and governing law.

16. Governing law and disputes

Unless a signed engagement agreement states otherwise, these terms are governed by California law without regard to conflict-of-law rules. Courts located in Orange County, California will have exclusive jurisdiction, and each party consents to that venue. Before filing a claim, the parties will attempt in good faith to resolve the issue through written notice and a business discussion.

17. Updates and electronic acceptance

Problem may update these terms to reflect service, legal, or operational changes. Material updates will be identified by a new effective date and may require renewed acceptance. Electronic acceptance and records have the same effect as a written signature to the extent permitted by law.
